Legal

Terms of service

Version of October 29, 2026

These terms apply to everyone who uses fundmysaas.io: visitors, backers who pledge to campaigns, and founders who run them. Please read them before you create an account. Where a rule only applies to backers or only to founders, the section says so.

1. Who we are and what fundmysaas does

fundmysaas is run by Sway SRL, Clos des Colombes 23, 1342 Limelette, Belgium, enterprise number BE 1037.531.992 ("Sway", "we"). You can reach us at contact@fundmysaas.io.

fundmysaas is a marketplace for reward crowdfunding of software products. A founder presents a campaign for a product (often a SaaS) and offers rewards: a prepaid subscription, a lifetime deal, credits, seats, early access or a perk. A backer pledges to buy a reward. If the campaign succeeds, the backer's card is charged and the founder delivers the reward.

The public pages of the site use analytics and advertising measurement tools (PostHog, and the Meta and X pixels) only if you accept them in the cookie bar. The privacy policy says what they collect and how to withdraw your choice.

Who sells the reward

  • The founder is the seller. When you back a campaign, the contract for the reward is between you and the founder who runs it. The founder issues the invoice or receipt, charges VAT where it applies and is responsible for delivering the reward.
  • Every founder is a trader. Founders run campaigns for their business, so EU consumer law applies to every reward you buy from them, and their verified business name is shown on the campaign.
  • Sway is not a party to that contract. We provide the marketplace, check campaigns before they open and take a fee from the founder on each successful charge.
  • Sway never holds your money. Payments are made by Stripe directly on the founder's own Stripe account. Sway's fee is taken from that charge by Stripe.

What fundmysaas is not

  • It is not an investment. A pledge buys a product or a service. It never gives shares, a stake in the company, a share of revenue or profit, interest, a loan, a token or any other financial return. Campaigns that offer such things are not allowed (section 9).
  • It is not a store with stock on the shelf. Many rewards are for products that are still being built. A product may change, ship late or, in rare cases, not ship at all. The campaign modes below are built to limit that risk, and your rights as a consumer (sections 6 and 7) always apply.

2. Accounts

  • You must be at least 18 years old and able to enter into a contract to create an account, to pledge or to run a campaign. A founder who acts for a company confirms that they may bind it.
  • Give accurate information and keep it up to date. Keep your sign-in safe and tell us at once at contact@fundmysaas.io if you think someone else used your account. You are responsible for what is done through your account unless it was used without your fault.
  • One account per person. An account can both back campaigns and run them.

3. How campaigns work

Every campaign has a funding goal in EUR or USD and an end date. Every campaign is all-or-nothing by default: if the goal is not met when the campaign ends, every pledge is released and nobody is charged. A Growth campaign may instead set a minimum, shown on its page and in the checkout before you pledge: at least half the goal and less than the goal. If the pledges reach that minimum when the campaign ends, the cards are charged even though the goal is not met, and the founder delivers every reward as described; under the minimum, every pledge is released and nobody is charged.

There are three campaign modes. The campaign page and the checkout always say which one applies.

Mode For When the card is charged
Ship pledge A product being built Only after the goal is met and the founder proves the product is live, before the launch deadline shown on the campaign. If the launch is not confirmed by then, every pledge is released and nobody is charged.
Build fund A product being built, with a working prototype When the campaign ends, if the goal is met.
Growth A product already live, raising for named goals (for example marketing, scale, sales or hiring) When the campaign ends, if the goal is met, or the minimum the campaign shows when it has one.
  • Your card is saved, not charged, when you pledge. Stripe stores the card. We never see its full number.
  • Launch proof (Ship pledge). The founder sends the address of the live product and a statement of what is live. Sway checks that the product is live as promised, not whether it is good, and records its decision and the reason. A founder may extend the launch deadline once, by up to a year; you can then release your pledge in one click.
  • If a charge fails (a declined card or a bank asking for confirmation), we email you a link to complete the payment. The pledge stays open until you pay or withdraw.
  • What is fixed once a campaign opens: its mode, end date, currency and the founder's payout account. The price and the description of a reward already pledged do not change for you. The goal and the minimum may only come down, never go up, and the amount that triggers the charge never rises: if they change, every backer is told by email and may release their pledge at no cost.
  • No automatic pledge. A pledge is only made when you confirm a summary of the reward, its price, the seller and when you will be charged.

Before a campaign opens, it may be shown as coming soon. You can read it, but pledges open later.

4. Fees

  • Backers pay the price of the reward and nothing more. fundmysaas adds no fee on top.
  • Founders pay Sway a success fee on each successful charge, taken by Stripe as an application fee from that charge. The rate is shown in the fees page (5% at the date of these terms) and is fixed on a campaign when it is approved. There is no fee when a campaign fails or a pledge is released, and the fee is refunded when a backer withdraws within the withdrawal period.
  • Stripe's processing fees are charged to the founder by Stripe under the founder's own agreement with Stripe.
  • Sway's fee is a service of Sway to the founder. Sway invoices it and charges VAT where the law requires.
  • Placement on fundmysaas cannot be bought (section 11).

5. Founders' obligations

If you run a campaign, you agree to:

  • Be the seller. Give your legal name, address and the information Stripe asks for to verify you. Your verified name is shown on your campaign. You are responsible for the contract with each backer, your invoices, your VAT and your other tax duties, and for the information EU consumer law requires a seller to give.
  • Tell the truth. Describe the product, its stage and the rewards honestly. No fake traction, fake revenue figures, misleading screenshots or invented testimonials. When we ask you to back a claim, answer within 14 days.
  • Deliver. Deliver each reward as described, by the estimate you gave, and keep backers informed of progress, on the campaign page or by email. Announce a delay as soon as you know of it.
  • Honour backers' rights. Accept withdrawals within the withdrawal period, refund promptly when you must, and give the legal guarantee that applies to what you sell.
  • Use the money as you said. If a funded project cannot be completed, post an update that explains what was done and how the money was used, act in good faith to reach the best possible outcome for backers, and offer backers the money that remains, in proportion to their pledges.
  • Bear refunds and chargebacks. Refunds and chargebacks are taken from your Stripe balance. If Sway ever pays an amount that is yours to pay, you will repay it on our invoice.
  • Use backer data for delivery only. You receive a backer's name, email address and reward so that you can deliver it. You may not sell it, share it or use it to market other products without the backer's separate consent. You are an independent controller of that data under the GDPR (see the privacy policy).
  • Own what you publish. You confirm that you hold the rights to the texts, images and marks on your campaign.

6. Backers' obligations and rights

  • Use a payment method you are entitled to use, and keep the card valid until your pledge is charged or released.
  • Treat founders and other users with respect.
  • You buy the reward from the founder. Questions about a reward, its delivery or a refund after the withdrawal period go to the founder first. Sway's own responsibilities are listed in section 14: Sway runs the marketplace, its checks and its information; the founder sells and delivers the reward. Your rights as a consumer against the founder, including the legal guarantee of conformity, are not reduced by these terms.

7. Your 14-day withdrawal right

If you are a consumer, you may withdraw from the contract for a reward within 14 days, without giving a reason.

  • When the 14 days start. The contract is formed when you confirm your pledge. The 14 days run from that day. The end date is shown on your pledge in My pledges.
  • How to withdraw. Open My pledges, choose Withdraw from contract here on the pledge, then Confirm withdrawal. We send you a confirmation by email. You may also tell the founder, or write to us at contact@fundmysaas.io with a clear statement that you withdraw; you may use the model withdrawal form below, but you do not have to.
  • What happens. If your card has not been charged, the pledge is released and nothing is charged. If it has been charged, the whole payment, Sway's fee included, is refunded to your card within 14 days of your withdrawal, by the founder through Stripe.
  • Before the charge, you can always leave. Even after the 14 days, a pledge that has not been charged can be released at any time while the campaign runs.
  • No campaign mode and no running subscription shortens this right.

Model withdrawal form (complete and send it only if you want to withdraw):

To [the founder's name and address, shown on the campaign], and to Sway SRL, contact@fundmysaas.io: I hereby give notice that I withdraw from my contract for the following reward: [campaign and reward]. Pledged on: [date]. Name: [your name]. Email address of your account: [email]. Date: [date].

8. Refunds and disputes about payments

  • Refunds are made on the founder's Stripe account, to the card that paid.
  • A founder may refund a backer at any time. The pledge then shows as refunded.
  • If you dispute a charge with your bank, the dispute is handled between you, your bank and the founder through Stripe. A dispute that is clearly abusive may lead us to suspend the account that made it.

9. What is not allowed

You may not use fundmysaas to:

  • offer or promise shares, equity, convertible notes, a share of revenue or profit, interest, a loan, tokens, coins, NFTs or any other financial return, or take payment in crypto-assets;
  • raise money for anything other than a real product or service you will deliver, or ask for donations;
  • publish anything illegal, deceptive or that infringes someone else's rights, including trademarks, copyright and personal data;
  • sell products that Stripe or the law restricts, or that you have no right to sell;
  • post false information, fake backers, fake reviews or misleading growth figures, or try to manipulate the order of campaigns;
  • harass, threaten or abuse anyone, or publish hateful or sexual content;
  • scrape the site, get around its security, rate limits or checks, or send spam or malware.

10. Moderation, reporting content and how we decide

Reporting content

Anyone can report a campaign, reward, update, profile or other content they believe is illegal or breaks these terms, through the report form, the contact form or by email to contact@fundmysaas.io. Say where the content is, why you think it is illegal or not allowed, and give your name and email address (except for reports about child sexual abuse material). We confirm receipt, review the report diligently and objectively, and tell you what we decided and how you can contest it.

Our checks

Every campaign is reviewed by a person before it opens. We may also use automated tools to detect fraud and abuse, for example on sign-ups and on the text of campaigns; a tool can flag or hold content, but a person makes every decision to refuse, remove or suspend.

What we may do

When content or an account breaks these terms or the law, we may refuse or remove the content, make it less visible, pause or end a campaign, refuse a launch proof, or suspend or close an account. We act in proportion to the breach and take the rights of everyone involved into account.

Statement of reasons

When we restrict your content or account, we tell you on a durable medium (usually email) what we decided, the facts and the rule or law it is based on, whether an automated tool was involved, and how you can contest it. We only skip this where the law forbids it or where it would endanger someone's safety. For founders, we give at least 30 days' notice before we end a campaign or close an account for reasons other than an urgent or legal one.

When a campaign is paused or ended, pledges that have not been charged are released and nobody is charged for them.

11. How campaigns are ordered

On the board and in search, you choose the order: ending soon (the nearest end date first, the default), most funded (the highest share of the goal reached) or most backers. You can filter by campaign mode and search by words in the title, the product name and its tagline. Campaigns coming soon are shown apart. On the home page, the featured campaign is the most funded open campaign.

No founder can pay for a better place, and Sway's fee does not affect the order. Campaigns are never ranked on any promise of financial return.

12. Complaints and disputes

  • Complaints to Sway. Any user, founder or backer, can complain about a decision we took about their content or account, about a technical problem or about how we applied these terms, by writing to contact@fundmysaas.io within six months of the decision. We acknowledge a complaint within 5 working days and answer it in plain language within 30 days. If we got it wrong, we reverse the decision without delay.
  • Consumers. If a dispute with Sway is not resolved, Sway agrees to take part in mediation by the Belgian Consumer Mediation Service. You can turn free of charge to the Belgian Consumer Mediation Service (Service de Médiation pour le Consommateur, mediationconsommateur.be), or to the European Consumer Centre of your country (ECC-Net) for a dispute with a seller in another EU country. You may also go to court (section 17).
  • Founders. Founders using fundmysaas in the course of their business can also ask for mediation. We will take part in good faith; contact us and we will propose a mediator together.

13. Content and intellectual property

  • fundmysaas, its design, code and name belong to Sway. You may use the site for its purpose; you may not copy or reuse it otherwise.
  • You keep the rights to what you publish. You give Sway a free, non-exclusive, worldwide licence to host, show, reproduce and adapt it, for as long as it is on fundmysaas and only to run the service and to promote your campaign and fundmysaas. The licence ends when you delete the content or your account, except for copies already shared publicly by others, backups kept for a limited time, and what the law requires us to keep.
  • A backer gets the reward, not any right in the founder's product, name or code beyond what the reward includes.

14. Liability

  • We run fundmysaas with care. Like any online service it can be interrupted, for example for maintenance; we try to warn of planned work.
  • Sway is not the seller and is not responsible for the delivery, quality or conformity of a reward. That is the founder's responsibility. Sway remains responsible for its own obligations: running the marketplace, its checks, the information it gives you and its handling of your data.
  • Nothing in these terms limits liability for death or personal injury, for fraud, for intent or gross negligence, or any right a consumer has under mandatory law.
  • Within those limits, Sway is not liable to founders, acting in the course of their business, for indirect loss such as lost profit, and its liability to a founder in any year is limited to the fees that founder paid Sway in that year.

15. Suspension, closing an account and ending these terms

  • You may close your account at any time from your settings. A founder must first end or complete open campaigns; a backer's pledges that have not been charged are released. Data we must keep by law is kept as the privacy policy explains.
  • We may suspend or close an account as section 10 describes. Outside urgent, legal or repeated breaches, we give founders 30 days' notice.

16. Changes to these terms

We may change these terms to follow the law, a court decision, a change of the service or to fix something unclear. We tell account holders by email at least 30 days before a change takes effect, for backers and founders alike. You may close your account before that date without any cost. A change never applies to a pledge or a campaign already made under the earlier terms, unless it is in your favour. The date of the current version is at the top of this page.

17. Law and courts

These terms are governed by Belgian law. If you are a consumer living in another country, you also keep the protection of the mandatory rules of the country where you live.

The courts of the place of Sway's registered office (Walloon Brabant, Belgium) have jurisdiction. If you are a consumer, you can also bring a case before the courts of the place where you live, and we can only bring a case against you there.
